Affiliate Partner Program Terms & Conditions

§ 1 Scope and Subject Matter

  1. These Terms and Conditions govern the participation in the Affiliate Partner Program of BitBlockLabs SRL, Stoinesti 4, Craiva 317102 Arad, Romania, CUI 45787516 (hereinafter referred to as "Provider").

  2. The subject of this agreement is the promotion and referral of the products "SonarSignal PRO Channel" and "Sonaris AI" (hereinafter referred to as "Products") by the Affiliate via individual tracking links.

§ 2 Registration and KYC Requirements

  1. Participation is free of charge and open to individuals (at least 18 years of age) and legal entities.

  2. To be eligible for payouts, the Affiliate is mandatory required to provide accurate and complete information during registration, including:

    • Full Legal Name

    • Current Residential or Business Address

    • Valid PayPal E-mail Address for payouts.

  3. The Affiliate is responsible for keeping this data up to date. Any disadvantages resulting from incorrect data (e.g., failed payouts) shall be borne by the Affiliate.

§ 3 Referral and Tracking

  1. The Affiliate will be provided with individual tracking links. Commissions are only granted for successful sales that are technically and clearly tracked by the Provider’s system.

  2. The Affiliate agrees to comply with all applicable laws. Prohibited activities include, but are not limited to, spamming, misleading advertising, or cookie-dropping. Any violation will lead to immediate termination and forfeiture of all commissions.

§ 4 Commission, Offsetting, and Fees

  1. The Affiliate receives a commission for each successfully referred and paid new customer according to the current commission rates.

  2. Internal Compensation (Offsetting): If the Affiliate maintains an active subscription for the Products at a cost of $77.00 per month, all earned commissions shall first be automatically offset against these own subscription costs.

  3. Only commissions exceeding the monthly subscription amount of $77.00 will be credited to the Affiliate’s payout balance.

§ 5 Payouts and Self-Billing Procedure (Autofacturare)

  1. Payout Threshold: Payouts will only be initiated once the Affiliate’s balance reaches a minimum threshold of $100.00 (calculated after the $77.00 offset described in § 4).

  2. Payouts are made exclusively via PayPal to the registered e-mail address.

  3. Agreement to Self-Billing: The Affiliate explicitly agrees that all commissions shall be settled via the Self-Billing Procedure (Autofacturare pursuant to Art. 319 para. 18 of the Romanian Fiscal Code). The Provider will issue the invoice/credit note on behalf of the Affiliate.

  4. By accepting these terms, the Affiliate waives the right to issue their own invoices for the referral services provided.

  5. The Provider will generate an electronic self-billing document (credit note) upon reaching the payout threshold and provide it to the Affiliate in conjunction with the PayPal payment.

§ 6 Taxes and Independent Status

  1. The Affiliate acts as an independent contractor. No employment relationship is established.

  2. The Affiliate is solely responsible for the proper taxation of their income in their country of residence or business. BitBlockLabs SRL does not withhold or pay any income or social security taxes on behalf of the Affiliate.

§ 7 Term and Termination

  1. Either party may terminate the participation in the Affiliate Program at any time without prior notice.

  2. Upon termination, any balance exceeding the $100.00 threshold will be paid out, provided it did not result from fraudulent activities or cancellations. Balances below the $100.00 threshold shall expire upon termination.
